Vet-Learn™ Website Terms and Conditions of Service

These Terms and conditions of Service govern your use of the Vet-Learn websites (https://vet-learn.com and https://vet-learn.vet), including related mobile websites, microsites, mobile applications, Vet-Learn profiles on social media platforms, and any other digital services or properties operated or utilized by Vet-Learn (collectively referred to as the “Site”). By accessing or using the Site, you agree to comply with and be bound by these Terms of Service and Vet-Learn’s Privacy Policy. Please read these Terms of Service and the Privacy Policy carefully.

If you do not agree to both these Terms of Service and the Privacy Policy, you must immediately discontinue your use of the Site.

1. Grant of License. We hereby grant you a non-exclusive, non-transferable license to access and use the Site and its services subject to the terms set forth herein, commencing upon acceptance of these Terms of Service and terminating on the earlier of: (a) our notification of termination of these Terms of Service to you; or (b) your notification of termination of these Terms of Service to us. It is your responsibility to safeguard your login credentials, including your username and password, to prevent unauthorized access. Licenses for accessing any Continuing Education (“CE”) program are subject to the terms of the relevant subscription or one-time purchase. You may use the Site and Vet-Learn Content (as defined below, see Section 6) for personal, non-commercial purposes only, and not for any other use. Sharing of accounts is prohibited and may result in immediate account cancellation without refund. Individual accounts are intended for single-user access only.
2. Restrictions on License. Except as expressly permitted in these Terms of Service or with prior written consent from Vet-Learn, you may not modify, translate, create derivative works of, reproduce, distribute, market, display, remove or alter any proprietary notices or labels from, lease, sell, sublicense, clone, transfer, decompile, reverse engineer, or incorporate into any information retrieval system (electronic or mechanical) the Site, any Vet-Learn Content (as defined below, Section 6), or any portion thereof. Additionally, you may not: (a) utilize the Site for any unauthorized or unlawful purpose or activity, including attempting to gain unauthorized access to the Site or Vet-Learn Content; (b) disrupt the proper functioning of the Site, including transmitting any virus, malware, or other harmful code; or (c) interfere with other users’ enjoyment of the Site.
3. Acceptance and Revision of Terms of Service. The Site is accessible only to individuals capable of entering into legally binding agreements under applicable law. These Terms of Service constitute a legally binding agreement between you and Vet-Learn concerning your use of and access to the Site. By accessing the Site, you unconditionally agree to these Terms of Service. Vet-Learn reserves the right to amend these Terms of Service at any time at its discretion by posting revised terms on the Site. Your use of the Site constitutes acceptance of the terms of use contained in the Terms of Service posted at the time of your use.
4. Privacy Policy. For details regarding Vet-Learn’s data handling practices and protection of your personal information, please review Vet-Learn’s Privacy Policy, which is incorporated herein by reference.
5. User Responsibilities. As a condition of accessing the Site, you warrant that you will comply with all applicable laws and regulations, and will not disrupt other users’ enjoyment of the Site or interfere with Vet-Learn’s operation of the Site. You agree not to upload, download, post, transmit, or make available any unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content, or content that infringes on any intellectual property rights or violates any law.
6. Trademarks and Copyrights: Content. The Content of the Site includes, among other things:

(a) Vet-Learn’s trademarks, service marks, logos, brands, and other identifiers (collectively “Vet-Learn Marks”); (b) information, data, materials, interfaces, computer code, databases, products, services, software applications, text, images, and photographs; and (c) the design, structure, compilation, arrangement, and functionality of any content available through the Site (referred to herein collectively as “Vet-Learn Content” or “Content”). Vet-Learn Content is owned by Vet-Learn, its owners, its licensors, sponsors, partners, advertisers, or other third parties, and is protected by applicable laws. Reproduction, distribution, sale, or dissemination of any Vet-Learn Content is strictly prohibited unless expressly authorized in writing. You may not alter or remove any copyright or other notices from Vet-Learn Content.

7. No Reproduction or Resale. You are not permitted to use any intellectual property owned by Vet-Learn for resale to third parties. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, or sell any intellectual property, information, software, products, or services obtained from the Site. However, you may stream or download podcasts, videos, and related materials from the Site for personal, educational, non-commercial use, provided you retain all copyright, trademark, and other proprietary notices.
8. No Unlawful, Prohibited, or Reckless Use. By accessing the Site, you warrant that you will not engage in any unlawful or prohibited activities and will not use the Site in a manner that endangers your safety or the safety of others, such as accessing the Site while engaged in activities requiring your full attention to safety.
9. Third Party Information, Advertisements, and Websites: Limitation of Liability. Your use of the Internet and the Site is at your own risk and subject to applicable laws. Vet-Learn does not guarantee the confidentiality or security of communications transmitted over the Internet or other networks. Advertisements on the Site do not imply endorsement of advertised products or services. Vet-Learn is not liable for any losses incurred as a result of such advertisements. The Site may feature materials provided by third parties, but Vet-Learn does not endorse or guarantee the quality, accuracy, or reliability of such materials.
10. Indemnification. You agree to indemnify and hold Vet-Learn, its parents, subsidiaries, affiliates, managers, officers, agents, independent contractors, and employees harmless from any claims or threatened claims arising out of your actions or use of the Site or its services and products therein, or from another person’s use of the Site through your account.
11. Disclaimer of Warranties. THE SITE, INCLUDING SERVICES AND PRODUCTS OFFERED THEREIN, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. YOUR USE OF THE SITE IS AT YOUR OWN RISK. Vet-Learn DISCLAIMS ALL WARRANTIES REGARDING THE ACCURACY, SAFETY, AND COMPLETENESS OF THE INFORMATION ON THE SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, Vet-Learn DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Vet-Learn DOES NOT GUARANTEE THAT THE SITE WILL BE FREE OF MALWARE OR THAT IT WILL OPERATE WITHOUT INTERRUPTIONS OR ERRORS. THE SITE IS INTENDED FOR EDUCATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL VETERINARY ADVICE.
12. Limitation of Liability. Vet-Learn IS NOT LIABLE FOR THIRD PARTY ACTIONS, CONTENT, OR DATA, AND YOU RELEASE Vet-Learn FROM ANY CLAIMS ARISING THEREFROM. Vet-Learn’s AGGREGATE LIABILITY ARISING FROM THESE TERMS OF SERVICE OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF £100 OR THE AMOUNT PAID BY YOU TO Vet-Learn IN THE TWELVE MONTHS PRECEDING THE CLAIM. ANY CLAIMS MUST BE FILED WITHIN ONE YEAR OF THE EVENT GIVING RISE TO THE CLAIM.
13. Termination. Vet-Learn may terminate your account and remove your content without notice. You may also delete your account at any time.
14. Choice of Law and Exclusive Venue. All disputes arising from your use of the Site shall be brought solely in England and governed by English law.
15. Entire Agreement. These Terms of Service, along with the Privacy Policy, constitute the entire agreement between you and Vet-Learn regarding the Site.
16. Modifications and Amendments. Vet-Learn may modify these Terms of Service at any time by posting revised terms on the Site. Your continued use of the Site constitutes acceptance of the modified terms.
17. Waiver. Vet-Learn’s failure to enforce any term does not constitute a waiver.
18. Severability. If any provision is deemed invalid or unenforceable, the remainder of the agreement remains in effect.
19. Attorney’s Fees. You agree to pay Vet-Learn’s full legal fees (including but not limited to attorney’s fees, costs, disbursements, witness fees, photocopy charges, subpoena fees, expert witness fees, computerized legal research fees, computer forensics consulting fees) and all other expenses incurred by Vet-Learn in any dispute arising from these terms and conditions.
20. Assignability. You may not assign rights or obligations without Vet-Learn’s written consent.
21. Rule of Construction. The rule of construction, that a document should be more strictly interpreted against the person who drafted it, does not apply to these terms.
22. Use outside of England. Use of the Site outside of England is at your own risk.
23. Continuing Education Programs. Vet-Learn does not guarantee CE completion or eligibility. You are responsible for verifying CE requirements.
24. Verification of Medical Information. You are responsible for verifying medical information and CE eligibility.
25. Social Media. Content on social media profiles is not endorsed by Vet-Learn. . Vet-Learn is not responsible for content or links posted by others.
26. User-Generated Content. By contributing content, you grant Vet-Learn a nonexclusive license to use it as is or modified for any reason, without exceptions, including marketing. You are solely responsible for the user-generated content you submit. Vet-Learn retains the right to remove any content from the Site for any reason.
27. Membership Renewal. Subscription renewal is automatic unless cancelled.
